Two of the biggest players in the kitchen, bath and home cabinetry sector are coming together in a deal valued at $2.4 billion.
The all-stock transaction will create one of the largest resources in the business with a combined operation of more than 20 manufacturing facilities and over 21,000 employees. The new company will use the MasterBrand name and be headquartered at its current offices in Beachwood, OH.
“Bringing together MasterBrand and American Woodmark will be a transformative step for both of our organizations that will even better position us to serve the evolving needs of our customers,” said Dave Banyard, MasterBrand’s president and CEO, who will be in charge of the new entity.
“With MasterBrand, we are joining a partner that shares our commitment to investing for growth, investing in associates and investing for the future,” said Scott Culbreth, American Woodmark’s president and CEO. Once the two companies are joined together, they will service more than 7,700 dealers, major retailers and builder partners. In announcing the deal, Company officials said by year three it is expected to result in $90 million in targeted annual cost savings through purchasing, manufacturing and operational efficiencies. The deal is expected to close in early 2026 pending final approvals.
